SETUBUZZ PLATFORM TERMS AND CONDITIONS
Effective: 7 March 2026

1. INTRODUCTION AND SCOPE

1.1 Platform Description: SetuBuzz is a B2B digital marketplace for sourcing, RFQ management, and supply chain collaboration. 1.2 Purpose: Legally binding master agreement governing the platform relationship. 1.4 Binding Effect: Valid contract under Indian Contract Act, 1872.

2. DEFINITIONS

"Agreement", "Confidential Information" (drawings, specs, CAD, RFQ), "Content", "DPDP Act 2023", "GST", "Personal Data", "RFQ".

3. PLATFORM ROLE

Intermediary status. No ownership of goods. Not a party to sales contracts between Users. No agency relationship.

4. ELIGIBILITY & KYC

Business entities only. Mandatory PAN, GST, and IEC. KYC involves verification of Incorporation, PAN, and OVD documents.

5. ACCOUNT SECURITY

Users responsible for credentials and all activities. Prohibited credential sharing or unauthorized third-party access.

6. DATA PROTECTION (DPDP ACT)

Compliance with DPDP Act 2023. Rights to access, correction, erasure, and redressal for Data Principals.

7. USER CONDUCT

No false, malicious, libelous, or infringing content. No price-fixing, bid-rigging, or platform circumvention.

8. RFQ & TRANSACTIONS

Buyers post RFQs; Suppliers provide quotations. Contracts formed directly between parties without SetuBuzz liability.

9. CONFIDENTIALITY & IP

Mutual confidentiality for engineering data. IP owned by relevant parties (User content vs Platform assets).

10. FEES & TAXES

Subscription, Listing, and Commission fees. Users responsible for GST. SetuBuzz complies with 194O TDS and GST TCS.

11-22. LEGAL PROVISIONS

Limited liability (capped at 12mo fees). Indemnification. Dispute resolution via Pune arbitration. Governing Law: Indian Law. Resolution within 15 days for grievances.
